THIS CONTEST IS OPEN ONLY TO “ENTRANTS” AS DEFINED IN SECTION 2 BELOW. THE CONTEST AND ENTRY THERETO ARE VOID WHERE THE CONTEST IS PROHIBITED OR RESTRICTED BY LAW. ENTRY IN THIS CONTEST CONSTITUTES ACCEPTANCE OF THESE OFFICIAL RULES. NO PURCHASE OR DONATION IS NECESSARY TO ENTER OR WIN. MAKING A PURCHASE OR DONATION DOES NOT INCREASE OR AFFECT THE POSSIBILITY OF WINNING. THIS IS A SKILL CONTEST.

Contest Name: Humble Baron presents: The Quest (“Contest”).

Sponsor: Humble Baron, Inc., 3125 US-231, Shelbyville, Tennessee 37160 (“Sponsor”).

By entering into the Contest outlined below, you are entering your Submission (as defined in Section 4) for judging in the Contest and entering into an electronic contract with Sponsor for the Contest to be bound by these Official Rules governing the Contest. In addition, you are agreeing to the Terms & Conditions governing use of the Website, as defined in Section 4, pursuant to which you make certain representations to Sponsor and grant Sponsor certain rights to use your Contest Submission and other submitted content. You are further agreeing to the use of your personal information by Sponsor in accordance with Sponsor’s Privacy Policy.

By submitting your Submission via the Website, you agree to do business with Sponsor electronically. By agreeing to do business electronically, you (i) consent to the electronic communication and delivery of all documents related to the Website, the Contest and all other services provided via the Website; (ii) agree that your act of clicking your consent to these Official Rules is a binding form of your electronic signature, which you agree binds you to these Official Rules, Terms & Conditions and Privacy Policy; (iii) represent that you have Internet access and a valid e-mail address enabling you access to the Website and to receive communications and documents electronically; and (iv) represent that you have a printer or other device to print or otherwise save communications and documents including, without limitation, these Official Rules and that you have, in fact, printed or otherwise saved a copy of these Official Rules for your records.

1.  DESCRIPTION: The Contest is a solo-performance singing submission contest of skill and will operate as follows:

• Contest Submission Period: The Contest begins on September 20, 2023 at 12:00:00a.m. Central Daylight Time (CDT) and ends on October 16, 2023 at 11:59:59p.m. CDT (“Submission Period”). All Submissions must be submitted during the Submission Period.
• Initial Judging Period: From on or about October 13, 2023 through October 14, 2023 (“Initial Judging Period”), representatives of Sponsor will select ten (10) Entrants (“Finalists”) based on the audiovisual recordings from eligible Submissions according to the submission requirements outlined in Section 4.
• Finalist Notification: On or about October 16, 2023, the Finalists will be selected, as determined by Sponsor’s representatives, and will be contacted by Sponsor to confirm eligibility and provide a headshot to Sponsor.
• Finalist Announcement: On or about October 24, 2023, Sponsor will announce the ten (10) Finalists on its website and social media accounts (e.g., Instagram, Facebook, etc.). Each Finalist will have their own designated social media post that includes a headshot photograph of Finalist (“Photo”), Finalist’s name, and Finalist’s current city of residence.
• Finalist Performance at the Event: On or about November 1, 2023, Finalists shall arrive at a hotel near sponsor, the location of which will be given to Finalists after they are announced, and the Finalists will have a group dinner. On or about November 2, 2023, the Finalists will participate in a sound check and rehearsal for the Event at Humble Baron. On or about November 3, 2023, the Finalists will have a group dinner and event at Humble Baron. On or about November 4, 2023, each Finalist will participate in a line check and perform live at Humble Baron during the Inaugural “Humble Baron presents The Quest” event (“Event”). At the Event, there will be five (5) judges (“Judges”). The Judges will evaluate each Finalist’s performance and will choose the Finalist as the Contest winner (“Winner”). The Event will be open to the public. Sponsor will reserve tables for the families of the Finalists for the Event, if requested by the Finalist.
• Winner Announcement: The Winner will be announced by Keith Weaver at the end of the Event. 

2. ENTRANT ELIGIBILITY. An “Entrant” is a natural person who (i) is a legal resident of the State of Tennessee on the date they submit a Submission; (ii) is at least 21 years old on the date of submitting a Submission; (iii) is a solo artist and not a member of a band, duo or other group; (iv) is not a party to a recording agreement or other similar agreement on the date of submitting a Submission; (v) is not on the US Bureau of Industry and Security Denied Persons or Entity Lists, is not on the US Treasury Department's list of Specially Designated Nationals, and is not on the US Department of Commerce's Table of Denial Orders; and (vi) complies with the Method of Submission & Submission Requirements in Section 4, and all other terms of these Official Rules. Officers, directors, shareholders, members, managers, partners, employees, agents, and representatives of Sponsor, its parent company (if any), subsidiaries, affiliates, successors, assigns, and members of their immediate families (parents, siblings, children and spouses, regardless of where they live), and those persons living in the same household with such persons, whether related or not, are ineligible to enter. Winners will be required to sign an affidavit of eligibility, liability release and, unless prohibited by law, publicity release.

3. DISQUALIFICATION. An Entrant may be disqualified, at Sponsor’s sole discretion and without limitation, if (i) Entrant has a pending arrest or conviction for a felony or misdemeanor involving moral turpitude, (ii) Entrant is subject to a restraining order; (iii) Entrant fails to meet the Method of Submission & Submission Requirements in Section 4; or (iv) Entrant violates or fails to comply with these Official Rules, including without limitation the eligibility requirements in Section 2.

4. METHOD OF SUBMISSION & SUBMISSION REQUIREMENTS. To enter the Contest, the Entrant must access the website located online at humblebaronquest.com (the “Website”) and successfully complete the entry form online which consists of submitting (i) the audiovisual performance of one (1) pre-approved cover song listed on the Website, no longer than six (6) minutes in length, (ii) which is embodied in MP4 file format with a file size of no more than one gigabyte (1GB) and (iii) Entrants personal information including without limitation, full legal name, artist name (if applicable), date of birth, residency, email, and phone number (“Submission”). Each Entrant may submit only a single Submission containing only one musical work. In the event that more than one Submission is received for an Entrant, the first Submission shall be deemed the Entrant's Submission, and additional Submissions will be disqualified.

By submitting a Submission and Photo (if applicable) in the Contest, the Entrant represents that the entire Submission and the Photo meet the following additional requirements:

• Submission or Photo cannot be sexually explicit or suggestive, violent or derogatory of any ethnic, racial, gender, religious, professional or age group, profane or pornographic, or contain nudity;
• Submission or Photo cannot promote, illegal drugs, tobacco, firearms/weapons (or the use of any of the foregoing), any activities that may appear unsafe or dangerous, or any particular political agenda or message;
• Submission or Photo cannot be obscene or offensive, or endorse any form of hate or hate group;
• Submission or Photo cannot defame, misrepresent or contain disparaging remarks about Sponsor or other people, products or companies; 
• Submission or Photo cannot contain trademarks, logos or trade dress owned by others, or advertise or promote any brand or product of any kind, or contain any personal identification, such as license plate numbers, personal names, e-mail addresses or street addresses;
• Submission or Photo cannot contain copyrighted materials owned by others, including, without limitation, any samples or interpolations of other musical works (except for pre-approved cover songs with respect to the Submission only) or any printed lyrics of musical works;
• Submission or Photo cannot contain materials embodying the names, likenesses, photographs, or other indicia identifying any person, living or dead, other than the Entrant; and
• Submission cannot depict or encourage, and cannot itself be, a violation of any law.

All Submissions and Photos are subject to the Terms & Conditions of Use of www.humblebaron.com. To the extent that there is any conflict between these Official Rules and the Terms & Conditions of Use, these Official Rules will control. Sponsor reserves the right to disqualify a Submission at any time, in Sponsor's sole discretion.

5. CONTESTANT REPRESENTATIONS, WARRANTIES & GRANT OF RIGHTS. For purposes of this Section 5, Entrant and Finalist are collectively referred to as “Contestant.” By submitting a Submission, each Contestant represents and warrants that the Submission: (a) is one of the six pre-approved cover songs, (b) does not infringe upon the copyrights, trademarks, rights of privacy, publicity or other intellectual property or other rights of any person or entity (excluding the pre-approved cover song); and (c) with respect to the Submission the Contestant has obtained written permission from each person whose name, image, voice, likeness and other personal attributes and biographical information are embodied and/or used in the Submission. Contestant further warrants and represents that Contestant is the owner of all right, title and interest in and to the Photo, and that Sponsor’s use of the Photo shall not violate any rules, laws, regulations, or the rights of any third party. Contestant agrees that Sponsor may run a background investigation on the Contestant, and Contestant agrees to sign and deliver to Sponsor such documents, including without limitation a background questionnaire, as Sponsor may reasonably require to effectuate the rights granted herein. 

By submitting a Submission, Contestant grants to Sponsor, and Sponsor’s affiliates, the non-exclusive and perpetual right to use Contestant’s professional name, nickname, legal name, image and likeness, including without limitation the Photo, in connection with the Contest and Sponsor. Furthermore, Contestant acknowledges that by entering the Website and providing a Submission, Contestant is consenting to Sponsor posting Contestant on Sponsor’s social media accounts, including without limitation Instagram and Facebook. Contestants shall have the right to share, on their personal or artist social media accounts posts created by Sponsor for the Contest or any other post approved by Sponsor. Notwithstanding the foregoing, Contestant shall have no other rights to use or exploit any of Sponsor’s intellectual property, including without limitation Sponsor’s trademarks. 

6. JUDGING CRITERIA. 

• Initial Judging Period: During the Initial Judging Period, representatives of Sponsor will review all of the Submissions and choose the Finalists based on the following criteria: singing ability, song selection and preparation and entertainment value and appeal.
• Event Judging: During the Event, the Judges will evaluate the Finalists’ live performances based on the following criteria: singing ability, stage presence, audience communication, song selection and preparation, originality and creativity.

7. SELECTION OF FINALISTS AND THE CONTEST WINNER; NOTIFICATION: The Entrants who’s Submissions are selected as one of best ten (10) performances based on the criteria shall be a Finalist. Sponsor shall determine at its sole discretion if a Finalist is qualified and eligible. If a Finalist is disqualified or ineligible for any reason, such as residing in a location where the Contest is prohibited or restricted by law, then an alternate Finalist will be selected in accordance with the judging criteria. Sponsor will select the Finalists on or about October 16, 2023 and will name the Finalists on or before October 24, 2023 on the Website and Sponsor’s social media profiles (e.g., Instagram, Facebook, etc.). Sponsor will notify the Finalists by contacting each Finalist using the contact information provided on the Submission form. 

The Finalist whose live performance is selected as the best performance shall be the Contest winner (“Winner”). The Judges shall determine the Winner in their sole discretion based on the criteria set forth in Section 6. The Winner will be required to complete, sign and return an Affidavit of Eligibility and a Liability Release. In the event of failure to return the documents and/or requested information, or the return of any prize or prize notification as being undeliverable, Winner will forfeit the prize and an alternate winner may be selected in the same manner as set forth in the judging criteria. All decisions of Sponsor are final. The Contest and entry thereto are void prohibited or restricted by law. SPONSOR MAY DELETE ALL SUBMISSIONS RECEIVED DURING THE CONTEST AFTER A FINAL WINNER IS SELECTED.

8. FINALIST TRAVEL AND LODGING: Sponsor shall pay costs earned in connection with Finalists’ transportation to and from Humble Baron for the Event and costs earned in connection with four (4) nights of lodging for Finalists at a hotel chosen by Sponsor. 

9. GRAND PRIZE: The grand prize consists of the following: the Winner will have a residency at Humble Baron for one (1) year where the Winner will perform once a month. The aforementioned is referred to as the “Grand Prize.” The Grand Prize is subject to availability and may be changed or modified at Sponsor’s sole discretion. The Grand Prize is not transferable, redeemable for cash or exchangeable for any other prize. 

10. TAXES. The value of travel, meals, lodging, and any other miscellaneous benefits (“Finalist Prize”) awarded to Finalists will be reported for tax purposes as required by law. The Finalists are solely responsible for reporting and paying any and all applicable taxes. 

The Grand Prize has no financial value for tax purposes. If requested, Finalists shall provide Sponsor with valid identification and a valid taxpayer identification number, social security number or equivalent as a condition of the Finalist Prize being awarded. The Finalists will receive an IRS form 1099-MISC at the end of the calendar year, and a copy of such form will be filed with the IRS.

11. PRIVACY & TERMS: Information submitted by Entrant will be subject to the Terms & Conditions of the Website, subject to Sponsor’s Privacy Policy available online at humblebaronthequest.com (“Policy”), both of which are incorporated herein by reference.

12. DISCLAIMER. ALL PRIZES ARE AWARDED “AS IS” AND WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED (INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE), AND ALL SUCH WARRANTIES ARE HEREBY DISCLAIMED.  

13. LIMITATIONS OF LIABILITY, RELEASE & FORCE MAJEURE: The Released Parties (as defined below) are not responsible for: (i) technical problems or technical malfunction which may affect the operation of the Contest, including but not limited to any of the following occurrences (a) hardware or software errors; (b) faulty computer, telephone, cable, satellite, network, electronic, wireless or Internet connectivity or other online communication problems; (c) errors or limitations of any Internet service providers, servers, hosts or providers; (d) garbled, jumbled or faulty data transmissions; failure of any e-mail transmissions to be sent or received; (ii) lost, late, delayed or intercepted transmissions; (iii) inaccessibility of any website, in whole or in part for any reason, or traffic congestions on the Internet; (iv) unauthorized human or non-human intervention of the operation of the Contest, including without limitation, unauthorized tampering, hacking, theft, virus, bugs, worms; (v) destruction of any aspect of the Contest, or loss, miscount, misdirection, inaccessibility or unavailability of an account used in connection with the Contest; (vi) any typographical errors in the announcement of prizes or these Official Rules, or any inaccurate or incorrect data contained on the Website; (vii) any personal injury, or property damage or losses of any kind which may be sustained to Entrant’s or any other person's computer equipment resulting from participation in the Contest, use of any website or the download of any information from any website; (viii) any attempt by an Entrant or other individual to deliberately damage or undermine the legitimate operation of the Contest, including but not limited to any fraudulent claims, which may be a violation of criminal and civil laws, and/or (xi) lost, stolen, or destroyed passports, airline tickets, hotel reservation documents, or any other items or materials required to claim, use or benefit from the Prize. ANY PERSON ATTEMPTING TO DEFRAUD SPONSOR OR IN ANY WAY TAMPER WITH, DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST WILL BE DISQUALIFIED AND MAY BE SUBJECT TO CIVIL AND/OR CRIMINAL PROSECUTION.  

Sponsor and its parent (if any), subsidiaries, affiliates, successors, assigns; and each of the foregoing’s respective officers, directors, owners, shareholders, members, managers, partners, principals, Contest judges, employees, agents and representatives (collectively "Released Parties'') shall not be liable for any injury, damage, loss, expense, accident, delay, inconvenience, or other irregularity that may be caused or contributed to (i) by any wrongful, negligent, or unauthorized act or omission of any third party; or (ii) by any cause, condition, or event beyond the control of the Released Parties, including, without limitation, any act of God, war, terrorism, riot, hurricane or fire. BY ENTERING THE CONTEST, ENTRANT FULLY AND UNCONDITIONALLY RELEASES, DISCHARGES AND AGREES TO DEFEND, INDEMNIFY AND HOLD HARMLESS EACH RELEASED PARTY FROM AND AGAINST ANY AND ALL CLAIMS, COSTS, EXPENSES, ATTORNEY’S FEES, DAMAGES AND OTHER LIABILITIES ARISING OUT OF OR RELATING TO ENTRANT’S PARTICIPATION IN THIS CONTEST AND CONTEST-RELATED ACTIVITIES (SUCH AS ACCEPTANCE, POSSESSION, USE OR MISUSE OF ANY PRIZE), INCLUDING, WITHOUT LIMITATION BUT TO THE EXTENT PERMISSIBLE BY APPLICABLE LAW, DEMANDS, CLAIMS AND CAUSES OF ACTION FOR INTELLECTUAL PROPERTY INFRINGEMENT, RIGHTS OF PUBLICITY OR PRIVACY VIOLATIONS, NEGLIGENCE, DAMAGES TO PROPERTY, BODILY INJURY (INCLUDING DEATH), PROPERTY DAMAGE, LOSS OF BUSINESS, LOSS OF CONSORTIUM, CONSEQUENTIAL DAMAGES, PUNITIVE DAMAGES AND ALL OTHER FORMS OF CLAIMS, LIABILITIES AND DAMAGES.

By entering the Contest, you acknowledge that you are familiar with the provisions of California Civil Code Section 1452, which provides as follows:

A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS FAVOR AT THE TIME OF EXECUTING THE RELEASE WHICH IF KNOWN BY HIM MUST BE MATERIALLY AFFECTED HIS SETTLEMENT WITH THE DEBTOR.

By entering the Contest, Entrant (on his/her behalf and on behalf of his/her heirs, executors, administrators, personal representatives, and all other persons asserting rights of or acting on behalf of Entrant) hereby unconditionally waives and relinquishes any right or benefit which you or such person(s) have or may have against the Released Parties under Section 1542 of the Civil Code of the State of California, or under any similar statutory or common law of any other jurisdiction to the full extent that any such person may lawfully waive such rights and benefits pertaining to the releases set forth in these Official Rules, the Terms & Conditions, and Sponsor’s Privacy Policy. 

14. DISPUTES AND GOVERNING LAW: All issues and questions concerning the construction, validity, interpretation and enforceability of these rules, or the rights and obligations of any Entrant, Finalist, Winner or the Sponsor in connection with the Contest, shall be governed by and construed in accordance with the laws of the State of Tennessee without giving effect to any choice of law or conflict of law rules or provisions which would cause the application of the laws of any jurisdiction other than the State of Tennessee. Any action or litigation concerning this Agreement shall take place exclusively in the state courts sitting in Bedford County, Tennessee, and you expressly consent to the jurisdiction of and venue in such courts and waive all defenses of lack of jurisdiction and inconvenient forum with respect to the courts. Any and all disputes, claims, and causes of action arising out of or in connection with this Promotion, shall be resolved individually, without resort to any form of class action. You agree to service of process by mail or other method acceptable under the laws of the State of Tennessee. ANY CLAIMS, JUDGMENTS AND/OR AWARDS SHALL BE LIMITED TO ACTUAL OUT-OF-POCKET COSTS ASSOCIATED WITH ENTERING THIS PROMOTION. YOU HEREBY WAIVE ANY RIGHTS OR CLAIMS TO ATTORNEY'S FEES, INDIRECT, SPECIAL, PUNITIVE, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ENTRANT, IDENTIFIABLE PERSONS, OR THIRD PARTY PARTICIPANTS, WHETHER FORESEEABLE OR NOT AND WHETHER BASED ON NEGLIGENCE OR OTHERWISE.

15. WINNERS LIST/OFFICIAL RULES: To obtain a copy of the Official Rules and Winners list, send a self-addressed stamped envelope to Sponsor at the address set forth above. All such requests must be received within four (4) weeks after the end of the Contest.
